1. Who provides the service

Okeh (okeh.app) is provided by Davide Conte, sole proprietorship (ditta individuale), partita IVA (Italian VAT number) 05388160755, with registered office at Via Dante Alighieri 51, 73040 Melissano (LE), Italy, email me@davideconte.me (the "Provider"). Whoever creates an account is the "Subscriber". The people to whom the Subscriber sends documents are its "Clients".

2. What the service does

Okeh lets you publish documents (quotes, proposals, contracts, reports) that can be reached through a link, see when they are opened, send them by email, have them signed with a code sent by email (OTP) and get a signature certificate in PDF with the SHA-256 fingerprint of the document. The features included depend on the plan and are described on the Pricing page.

3. For professionals and businesses only

  • The service is reserved for those acting for the purposes of their own professional or business activity who hold an Italian partita IVA. For businesses based in another country, the Provider assesses each case before activation.
  • By signing up, the Subscriber declares that it uses the service for these purposes. The partita IVA must be entered in the billing details before payment. If the declaration is not true, the Provider may close the account.
  • The contract is concluded between professionals: the consumer protection rules of the Italian Consumer Code (Codice del consumo, Legislative Decree 206/2005) do not apply, including the right of withdrawal under Articles 52 and following. The free trial (point 7) and cancellation at any time (point 10) remain.

4. How the contract is concluded

  • The Subscriber fills in the sign-up form, accepts these terms and the data processing agreement, and confirms its email with a code. Before submitting the form it can correct the details entered.
  • The contract is concluded when the Provider approves the account: the Subscriber learns this from the welcome email.
  • The contract is in Italian. The version of the terms accepted remains published on this page until the next change; the Provider keeps previous versions and sends them on request. The Provider does not subscribe to any codes of conduct.

5. Approval of accounts

Every account is checked by the Provider before it is activated, to prevent the service from being used for scam pages. The Provider may ask for information about the business and may refuse a sign-up without having to give reasons; in that case nothing is owed and the sign-up data is deleted.

6. Account and credentials

  • The Subscriber keeps passwords, sign-in links and API keys safe, and is responsible for what is done with its account.
  • Administrators added by the Subscriber act on its behalf.
  • If it suspects unauthorised access, the Subscriber reports it immediately to me@davideconte.me.

7. Free trial

  • From approval, the Subscriber has a 14-day free trial, with no payment card.
  • During the trial the features of the Pro plan apply, with a maximum of 30 AI requests.
  • If the Subscriber chooses a plan during the trial, the first charge is made at the end of the trial.
  • If it does not choose a plan by the end of the trial, the account moves to the Free plan and stays active: the documents stay online, including those beyond the Free limits, and from then on the Free limits apply. The trial does not turn into a paid subscription by itself.

8. Prices, payment and invoices

  • Plans: Free (Gratis), at no cost; Base 12 euros per month or 120 euros per year; Pro 29 euros per month or 290 euros per year. The price is per account, regardless of the number of administrators.
  • The Free plan includes 3 new documents per month and does not include AI, a custom domain, sending from the Subscriber's mailbox, the connection to Claude (MCP) or the API. The service's brand appears in emails, in the signing steps and in certificates. The Provider may change its limits with the notice in point 20.
  • Prices are final: the Provider applies the flat-rate tax scheme (regime forfettario) and does not charge VAT (Transaction not subject to VAT under Law 190/2014, Article 1, paragraphs 54-89). Any stamp duty (imposta di bollo) on the invoice is borne by the Provider.
  • If the Provider leaves the flat-rate scheme, VAT is added to the prices from the next renewal, with notice by email at least 30 days in advance.
  • Payment is made in advance for each period, by card, through Stripe. The Provider does not see or store card details.
  • For each payment the Provider issues an electronic invoice (fattura elettronica) using the billing details provided by the Subscriber, who guarantees that they are correct.
  • Switching to another plan or billing frequency takes effect immediately: Stripe calculates the difference for the current period on a pro rata basis.
  • Price changes are notified by email at least 30 days in advance and apply from the next renewal. Those who do not accept them can cancel before then.

9. Founders offer

  • The first 30 accounts that complete a payment of more than zero become "founders". The order is that of successful payments; the counter on the site is indicative.
  • A founder keeps the prices in force at its first payment, for both plans and both billing frequencies, as long as the subscription remains active without interruption. The price changes in point 8 do not apply to it.
  • The subscription is interrupted when it closes: through a cancellation that has reached its end date or through non-payment after the charge attempts. A payment that fails and is then recovered during the attempts is not an interruption. After an interruption the founder place cannot be recovered.
  • The founder place is tied to the account and cannot be transferred.

10. Renewal, cancellation and refunds

  • The subscription renews automatically at the end of each period (month or year), on the same terms, until the Subscriber cancels.
  • The Subscriber can cancel at any time from the Subscription page of the dashboard. Cancellation takes effect at the end of the period already paid; until then the service remains available. After that, the account moves to the Free plan and stays active with its limits: the documents stay online.
  • The Subscriber can ask for the account to be deleted from Settings, once any paid subscription has closed or on the Free plan. The request can be withdrawn from the Subscription page within 30 days; after that point 19 applies.
  • Amounts for periods already started are not refunded, not even in part, except in the cases in points 8, 18 and 20 and for charges made in error by the Provider, which are refunded in full.
  • If a charge fails, Stripe retries it for a few days and the service remains active in the meantime. If the payment does not arrive, the subscription closes and the account moves to the Free plan.

11. Prohibited uses

It is prohibited to use the service for:

  • phishing pages, collecting credentials or payment details, scams;
  • posing as another person, company or body, or imitating their trade marks and graphics;
  • content that is unlawful, defamatory, infringes third-party rights or incites hatred or violence;
  • malicious software or links to malicious software;
  • unsolicited bulk mailings (spam) through the email features;
  • collecting special categories of data (health, ethnic origin, political opinions, etc.) or data relating to criminal convictions and offences (dati giudiziari) of Clients through the features of the service, unless they are necessary for the document and the Subscriber has a valid legal basis;
  • circumventing limits, security or the separation between accounts, or overloading the service.

12. The Subscriber's content and clients

  • Documents remain the Subscriber's. The Provider stores and displays them only to provide the service.
  • The Subscriber is responsible for the content it publishes and the emails it sends through the service: for their lawfulness, their accuracy and the rights to texts, images and trade marks.
  • For its Clients' data the Subscriber is the data controller. It is up to the Subscriber to have a legal basis (for example the negotiation in progress or the legitimate interest in knowing whether the document has arrived), to inform Clients about the processing, including the opening of documents and the signature, and to respond to their requests. The Provider makes available a notice for people who open and sign (in Italian) to which the Subscriber can refer them.
  • The Subscriber holds the Provider harmless from third-party claims arising from the content it has published or from use of the service in breach of these terms.

13. Electronic signature

  • Signing with a code sent by email is a simple electronic signature (Article 3(10) of Regulation (EU) 910/2014, eIDAS). Under Article 25 eIDAS it cannot be denied legal effect solely on the grounds that it is in electronic form.
  • It is not an advanced, qualified or digital signature. Under Article 20, paragraph 1-bis, of Legislative Decree 82/2005 (Codice dell'amministrazione digitale, CAD), whether it satisfies the requirement of written form and its value as evidence are freely assessed by the court, based on security, integrity and unalterability.
  • It must not be used where the law requires written form on pain of nullity or an advanced, qualified or digital signature (for example the acts in Article 1350 of the Italian Civil Code on real property): another tool is needed there. Deciding whether it is suitable for the document is up to the Subscriber.
  • The service records the signer's email, date and time, a fingerprint of the IP address, browser, any choices and notes, and the SHA-256 fingerprint of the signed document. If the document changes after signature, the page flags it.
  • The certificate is produced by the Provider: it is not a qualified trust service and does not certify the signer's identity beyond control of the email inbox.
  • The Provider is not a party to the contracts between the Subscriber and its Clients.

14. AI features

Texts proposed by the AI may contain errors, including on prices and terms. The Subscriber rereads them and is responsible for them before sending them. Which data goes to the AI provider is set out in the privacy notice and in the data processing agreement (in Italian).

15. Personal data

For the Subscriber's data the Provider is the data controller, as explained in the privacy notice. For Clients' data the Provider is the data processor (Article 28 GDPR) under the terms of the data processing agreement (in Italian), which forms part of these terms and is accepted on sign-up.

16. Availability of the service

  • The Provider looks after the operation of the service with professional diligence, but does not guarantee that it is always available or free of errors and does not offer guaranteed service levels (SLA).
  • The service may stop for maintenance, updates, faults or external causes (for example network, server or mail providers). Scheduled maintenance is announced when possible.
  • Email delivery also depends on the recipients' servers: the Provider does not guarantee that emails arrive or that they do not end up in the spam folder.
  • The Subscriber keeps its own copy of the documents and certificates it needs to retain.

17. Limitation of liability

  • Except in cases of wilful misconduct or gross negligence (dolo o colpa grave, Article 1229 of the Italian Civil Code), the Provider is liable only for direct damage and for a total amount not exceeding what the Subscriber paid in the 12 months before the event.
  • To the extent permitted by law, the Provider is not liable for loss of profit, loss of business or data, or for damage caused by the Subscriber's content, by the evidential value of the signature in a specific case or by third-party services.

18. Suspension and termination by the Provider

  • The Provider may suspend the account, even without notice, and remove content if there is a breach of point 11, a risk to the security of the service or of third parties, or a request from the authorities. When possible it notifies the Subscriber and allows it to remedy the situation.
  • In case of serious or repeated breaches the Provider may close the account with immediate effect, without refund.
  • Outside these cases, the Provider may terminate the contract with 30 days' notice by email, refunding the part already paid and not used.

19. Data after the end

After a request to delete the account (point 10), documents, signatures and certificates remain viewable and downloadable for 30 days. If the account is suspended (point 18) and not reactivated, the same period runs from the suspension. They are then deleted permanently and automatically, together with the files and the history of requests to the AI; backup copies within the following 30 days. The other account data (settings, administrators, excluded IPs) is deleted 12 months after the end. Only the billing data and the proof of acceptance of these terms remain, for the period required by law (10 years). Downloading in good time what it needs to keep is up to the Subscriber. An account on the Free plan is active: the end of the trial, cancelling a paid plan and moving to Free are not an end of the contract and do not start these periods.

20. Changes

  • The Provider may change these terms and the service, giving notice by email at least 30 days in advance. Changes required by law or necessary for security may apply immediately.
  • If the Subscriber does not accept a change it can cancel before the change takes effect, with a refund of the part already paid and not used. If it continues to use the service after that date, the change applies to it as well.

21. Notices

Notices to the Subscriber go to the account email; notices to the Provider go to me@davideconte.me. The Subscriber keeps its email up to date.

22. Governing law and jurisdiction

Italian law applies. The Court of Lecce has exclusive jurisdiction over any dispute concerning this contract.

23. Specific approval of clauses

Under Articles 1341 and 1342 of the Italian Civil Code, the Subscriber specifically approves, by ticking a separate box at sign-up, the clauses in points 7 (end of the trial), 10 (automatic renewal and refunds), 12 (responsibility for content and indemnity), 16 (availability), 17 (limitation of liability), 18 (suspension and termination by the Provider), 19 (deletion of data), 20 (changes) and 22 (exclusive jurisdiction).
